End User Agreement (EULA)

Dataforge Inc. (“Dataforge,” “we,” “us”)

This End User Agreement (“Agreement”) governs your access to and use of the proprietary AI Enterprise platform and related tools, documentation, and distribution packages (the Software), including optional components such as the command-line interface, worker, MCP server, graph modules, and Open WebUI tool bundles under owui_tools/.

By installing, copying, or using the Software, you agree to this Agreement. If you do not agree, do not use the Software.

Order of precedence. If your Order (subscription, MSA, or other written agreement with Dataforge) conflicts with this Agreement on commercial terms, the Order controls for those terms. For license grant and restrictions, the LICENSE.md controls as stated in Section 1. For personal information, the Privacy Policy controls, as reflected in the order of precedence in Section 12 of LICENSE.md.


1. License

Subject to this Agreement, Dataforge grants you a non-exclusive, non-transferable license to use the Software as described in LICENSE.md. If there is a conflict between this Agreement and LICENSE.md regarding license scope, grant, or restrictions, LICENSE.md controls.

2. Accounts, credentials, and security

The Software may store credentials, API keys, OAuth tokens, and environment configuration locally (for example in a database or .env files under your control). Credentials and OAuth tokens stored by the Software in its credential store are protected at the application layer only as described in the Documentation; you are responsible for database encryption, disk encryption, host-level access controls, and secure backup practices.

You are responsible for:

  • Securing those secrets and access to hosts running the Software;
  • Complying with third-party terms (Google, Intuit, Zoho, LLM providers, etc.) when you connect integrations;
  • Rotating credentials and revoking access when personnel change.

Dataforge does not operate your production environment unless you have a separate managed-services agreement.

3. Acceptable use

You agree not to use the Software to:

  • Violate law or infringe others’ rights;
  • Transmit malware or attempt unauthorized access to systems or data;
  • Scrape, harvest, or overload third-party APIs in violation of their terms;
  • Process unlawful categories of personal data without a lawful basis;
  • Deploy AI-assisted outputs into production financial, accounting, tax, legal, medical, or regulated-data systems without a human-in-the-loop review step appropriate to the risk.

You are responsible for how you configure graphs, tools, and prompts (including any large language model integrations).

4. AI and automated decisions

The Software may invoke large language models and other automation. Such systems are probabilistic; outputs may be wrong, incomplete, or unsuitable for your use case. You remain solely responsible for the accuracy and legality of records, postings, and actions taken in third-party systems (including accounting, email, and document stores) based on Software output.

You are responsible for any notices, consents, or rights related to automated decision-making or profiling required in your jurisdiction (including, where applicable, Quebec Law 25, the EU AI Act, and similar laws), including toward your own employees and end users.

5. Privacy

Our Privacy Policy describes how Dataforge handles personal information. Self-hosted deployments: you typically act as controller of operational and end-user data processed on your systems; you must provide your own notices to your users as required by law. Dataforge-hosted SaaS: Dataforge typically acts as processor for customer content you upload or generate in the hosted service; a Data Processing Agreement (DPA) may apply—contact legal@dataforge.ca.

6. Third-party services and AI

The Software may call third-party APIs (email, accounting, knowledge bases, LLM providers). Those services are governed by their terms and privacy policies. Dataforge is not responsible for third-party availability, pricing, or model behavior.

7. Intellectual property

Dataforge and its licensors own the Software. Feedback you voluntarily provide may be used by Dataforge without obligation to you, subject to applicable law.

8. Confidentiality

If you receive non-public information from Dataforge under a separate NDA or Order, those confidentiality terms apply. Otherwise, you agree not to disclose Dataforge’s non-public documentation or license keys to third parties.

Confidentiality obligations survive three (3) years after termination of this Agreement. They do not apply to information that: (a) is or becomes public through no fault of yours; (b) was rightfully known to you without restriction before disclosure; (c) is independently developed without use of Dataforge’s confidential information; (d) is lawfully received from a third party without restriction; or (e) must be disclosed by law, provided you give reasonable prior notice to Dataforge where legally permitted.

9. Warranty disclaimer

THE SOFTWARE IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAFORGE DISCLAIMS ALL WARRANTIES NOT EXPRESSLY STATED HEREIN. See LICENSE.md.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAFORGE WILL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. Aggregate liability is capped as set forth in LICENSE.md or your Order, whichever is more specific. If no amount was paid in the twelve (12) months preceding the claim, the cap is CAD $100, matching LICENSE.md.

11. Audit and usage reporting

Dataforge may, once per calendar year on at least thirty (30) days’ prior written notice, request a written certification of the number of Authorized Users, production instances, or other license metrics stated in your Order. No physical on-site audit is required for self-hosted deployments unless expressly agreed in writing. You will respond in good faith within thirty (30) days.

12. Indemnity

To the extent permitted by law, you will indemnify and hold Dataforge harmless from claims arising from your use of the Software, your data, or your violation of this Agreement or third-party terms—except to the extent caused by Dataforge’s willful misconduct.

13. Termination

We may suspend or terminate access if you materially breach this Agreement. Upon termination, your license ends and you must stop using the Software. Provisions that should survive will survive.

14. Changes

We may update this Agreement for new releases. Continued use after notice may constitute acceptance where allowed by law. Prior versions may be archived at https://dataforge.ca/legal/archive [PLACEHOLDER: confirm URL is final].

15. Governing law and venue

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules and excluding the CISG. You and Dataforge attorn to the exclusive jurisdiction of the courts in Toronto, Ontario, subject to mandatory consumer protections where applicable.

17. Assignment; severability; waiver; notices; force majeure; survival

Assignment. You may not assign this Agreement without Dataforge’s prior written consent, except to a successor in a merger or sale of substantially all assets, provided the assignee agrees in writing. Dataforge may assign to an Affiliate or successor.

Severability. Invalid provisions do not affect the remainder.

Waiver. No waiver is implied from delay or failure to enforce.

Notices. Notices to Dataforge: legal@dataforge.ca (or as in your Order).

Force majeure. Neither party is liable for delay due to events beyond reasonable control, with mitigation efforts.

Survival. Sections intended to survive (including confidentiality, disclaimers, limitations, indemnity, and Sections 15–17) survive termination.
